Terms of Service

Effective October 28, 2026

These terms are an agreement between FLUID Inc. ("FLUID", "we", "us") and the business that has a WellKept Books account (the "Customer"), along with everyone the Customer lets sign in (the "Users"). WellKept Books is a time, billing and practice tool for bookkeeping firms (the "Service"). By signing in or using the Service, you agree to these terms. If you use it for a business, you confirm you can agree for that business.

If the Customer and FLUID have signed a separate written agreement for the Service, that agreement wins where it differs from these terms.

1. Accounts

The Customer's owner account decides who gets an account, what role each person has and when access ends. Keep your password private and use one only you know. Tell us at legal@fluidcontent.com right away if you think someone else has used your account. The Customer is responsible for what happens under its accounts.

2. Your data

The Customer owns everything it and its Users put into the Service: time entries, notes, client details, rates, invoices, messages, calendar items and uploaded files ("Customer Data"). The Customer gives FLUID permission to store, copy, process and display Customer Data only as needed to run, secure, support and improve the Service, and as the law requires. We don't sell Customer Data or use it for advertising. Our Privacy Policy explains how we handle personal information.

The Customer confirms it has the right to put Customer Data into the Service, including details about its own clients and staff, and that it will tell those people what it needs to under the laws that apply to it.

3. What the Service does and doesn't do

WellKept Books works out invoices, approvals, filing reminders and reports from what you enter and the rules you set. It is a tool, not an accountant, tax adviser or lawyer, and nothing in it is professional advice. The Customer is responsible for:

  • checking every invoice, amount and rate before signing or sending it;
  • confirming filing and payment deadlines with the tax authority before relying on the calendar;
  • checking files exported for QuickBooks or other software before importing them, and keeping its own records there;
  • keeping its own copies of anything it must retain by law or professional rule.

4. Acceptable use

Don't use the Service to break the law or anyone's rights; try to get into accounts, data or systems you aren't allowed into; probe, overload or disrupt the Service; upload malware; copy, resell or rebuild the Service; or get around its limits or security. We may suspend access that puts the Service, other people or their data at risk, and we will tell the Customer when we can.

5. Our software

FLUID owns the Service, its software, design and documentation, and everything we build from it. While these terms are in effect, the Customer and its Users may use the Service for the Customer's own business. No other rights are granted. If you send us suggestions, we may use them without owing you anything.

6. Outside services

The Service runs on hosting and infrastructure providers we choose. Services the Customer connects or uses alongside it, such as its accounting software, bank or email, are governed by the Customer's own agreements with those providers. We aren't responsible for them.

7. Changes and availability

We improve the Service often and may add, change or remove features. We aim to keep it available and backed up, but we don't promise it will be uninterrupted or error-free. If a change takes away something the Customer relies on, we will give reasonable notice when we can.

8. Fees

Fees, if any, are as agreed in writing between the Customer and FLUID.

9. Confidentiality

Each side keeps the other's non-public business information confidential and uses it only for the purpose of this relationship, except as the law requires.

10. Disclaimer

Except as stated in these terms or in a signed agreement, the Service is provided "as is" and "as available". To the fullest extent the law allows, FLUID disclaims all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.

11. Limits on liability

To the fullest extent the law allows, neither side is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if told they might happen. FLUID's total liability for any claims about the Service is limited to the fees the Customer paid FLUID for the Service in the 12 months before the claim arose. These limits don't apply where the law doesn't allow them.

12. Ending

The Customer may stop using the Service at any time. Either side may end these terms with 30 days' written notice, or right away if the other side seriously breaks them and doesn't fix it within 15 days of notice. When the Service ends, the Customer may ask within 30 days for an export of its Customer Data. After that we delete it from the Service, and copies in backups expire on their normal schedule. Sections 2, 5 and 9 to 13 continue after the end.

13. Law and disputes

The laws of the State of Illinois, USA, govern these terms, without regard to conflict-of-law rules. Any dispute goes to the state or federal courts located in Illinois, and both sides agree to those courts' jurisdiction. Before filing a claim, each side will first try in good faith for 30 days to settle it by contacting the other.

14. Changes to these terms

We may update these terms. The effective date at the top shows the current version. If a change is significant, we will tell the Customer's owner account before it takes effect. Using the Service after that date means accepting the new terms.

15. Everything else

If a part of these terms can't be enforced, the rest still applies. Not enforcing a part now doesn't waive it. The Customer may not transfer these terms without our written consent. We may transfer them as part of a merger, acquisition or sale of the business. Neither side is responsible for delays caused by events beyond its reasonable control.
